Signature Authority
Authorized signatories have delegated/re-delegated authority from the University of Missouri System President. At UMSL, agreements related to research and commercialization are signed by specific individuals in the Office of Research and Economic & Community Development (ORECD). Please do not sign agreements yourself. Note: all agreements listed on this page are processed as noted whether they're related to a research or commercialization project or not.
Agreements
Contract for Services: Used to hire 3rd party contractors/consultants to perform work for the University and who are determined to not be an independent contractor. Departments work with Shared Services to enter the agreements into the University Contract Portal for required approvals and authorized signatures. See Personal Service Agreements below and PSA Checklist for more information.
DUAs: If you need a data-use or data-sharing agreement, email UMSLdua@umsl.edu.

Fee-for-Service Agreements: Service agreements under which UMSL employees provide scientific analysis or other services to industry for a fee are negotiated and processed by the UMSL Office of IP Management and Commercialization. Contact UMSLtechtransfer@umsl.edu.

Industry-Sponsored Research Agreements: Industry agreements are processed collaboratively between UMSL's Office of IP Management and Commercialization and the Sponsored Programs Administration Office. Start with IPMC -- contact UMSLtechtransfer@umsl.edu.
Licenses: To out-license intellectual property (IP), whether patent rights, copyrights, or trademarks, contact UMSLtechtransfer@umsl.edu. Note: in-licenses are generally not processed through this office (e.g., software usage licenses, etc.).
NDAs/CDAs: Non-Disclosure/Confidentiality agreements are negotiated and processed by the UMSL Office of IP Management and Commercialization. Contact UMSLtechtransfer@umsl.edu.
MTAs: Material Transfer Agreements are negotiated and processed by the UMSL Office of IP Management and Commercialization. Contact UMSLtechtransfer@umsl.edu.
Personal Service Agreements: PSAs are used to hire 3rd party contractors who are independent contractors (not presumed to be employees of the University for federal, state, and FICA tax purposes and for purposes of University employee benefits). Also see PSA Checklist for more information. Departments work with Shared Services to enter the agreements into the University Contract Portal for required approvals and authorized signatures.
